General Terms and Conditions

Article 1: Definitions In these general terms and conditions, the following definitions apply:

  • ”AngloSaxonTranslationCenter” (also referred to as ”ASTC”) refers to AngloSaxonTranslationCenter, an organization providing translation and proofreading Services, with its registered office at Stormvägen 8, 582 74 Linköping, VAT ID SE010327113601, and organization number ”0103271136”
  • ”Client” refers to any individual or entity that engages the Services of AngloSaxonTranslationCenter.
  • ”Services” encompass all translation, proofreading, and related linguistic Services provided by AngloSaxonTranslationCenter.
  • ”Contract” refers to any agreement, written or oral, between AngloSaxonTranslationCenter and the Client for the provision of Services.
  • ”Proposal” refers to a non-binding estimate provided by AngloSaxonTranslationCenter outlining the scope, timeline, and cost of the Services.
  • ”Confidential Information” refers to any non-public information disclosed by either party in connection with the Services, including but not limited to business information, Client data, and project details.

Article 2: Applicability of General Terms

These general terms and conditions apply to all Services provided by AngloSaxonTranslationCenter, including but not limited to translation and proofreading Services. By engaging AngloSaxonTranslationCenter, Clients acknowledge and agree to be bound by these terms and conditions. Any variations or amendments to these terms must be explicitly agreed upon in writing by both parties. These terms supersede any previous agreements, understandings, or representations, whether oral or written, related to the Services provided by AngloSaxonTranslationCenter. In the event of any conflict between these general terms and specific terms outlined in a separate Contract, the specific terms shall prevail.

Article 3: Proposals

All Proposals provided by AngloSaxonTranslationCenter for Services are non-binding and subject to change. These Proposals outline the estimated scope of work, timelines, and costs based on the initial information provided by the Client. Any changes to the project scope, additional requirements, or unforeseen complexities may result in adjustments to the original Proposal. AngloSaxonTranslationCenter reserves the right to revise Proposals to reflect these changes accurately. A Proposal does not constitute a binding Contract until both the Client and AngloSaxonTranslationCenter have formally agreed to the terms and conditions in writing. This ensures that both parties have a mutual understanding and agreement before any work commences. Clients are encouraged to thoroughly review and discuss Proposals with AngloSaxonTranslationCenter to ensure clarity and alignment on all project details.

Article 4: ”As Is” Clause

All work delivered by AngloSaxonTranslationCenter is provided on an ”as is” basis. This means that AngloSaxonTranslationCenter makes no warranties, express or implied, regarding the accuracy, completeness, or suitability of the translation or proofreading Services for any particular purpose. Clients acknowledge that they accept the delivered work in its current state and that any use of the work is at their own risk. AngloSaxonTranslationCenter shall not be held liable for any errors, omissions, or inaccuracies in the delivered work, nor for any consequential damages or losses arising from its use. Clients are encouraged to review the work thoroughly upon receipt and to notify AngloSaxonTranslationCenter promptly of any issues within the agreed complaint period. This clause ensures that Clients understand and accept the limitations of the Services provided, protecting AngloSaxonTranslationCenter from undue liability.

 

Article 5: Deadlines and Changes

AngloSaxonTranslationCenter strives to meet all agreed-upon deadlines for the delivery of translation and proofreading Services. However, Clients should be aware that deadlines may be subject to change due to unforeseen circumstances, including but not limited to the complexity of the project, the volume of work, and any additional requirements or revisions requested by the Client. In the event that a deadline needs to be adjusted, AngloSaxonTranslationCenter will promptly inform the Client and provide a revised timeline. While we commit to minimizing any delays and maintaining the highest quality standards, AngloSaxonTranslationCenter shall not be held liable for any damages or losses resulting from such changes to the agreed deadlines. Clients are encouraged to communicate any time-sensitive needs in advance so that we can better accommodate their schedules and expectations.

 

Article 6: Freelance Translators

AngloSaxonTranslationCenter may engage freelance translators and proofreaders to fulfill its service obligations. These freelancers are independent contractors, not employees of AngloSaxonTranslationCenter, and they are self-employed. Freelancers must provide a valid VAT number before initiating any translation work. Additionally, AngloSaxonTranslationCenter shall not be held liable for any social security contributions or other employment-related costs for these freelancers.

By contracting with AngloSaxonTranslationCenter, clients acknowledge and agree to the use of freelance professionals as part of the service delivery process. AngloSaxonTranslationCenter and its freelancers shall not be held liable for any damages arising from the use of freelance services. Furthermore, AngloSaxonTranslationCenter does not provide any guarantees regarding the performance or outcomes of services rendered by freelancers. 

Freelancers should invoice AngloSaxonTranslationCenter by the last day of the month following the month in which the work was performed. They are required to send only one invoice per month, summarizing all the services provided during that period. No minimum invoice fee shall be applicable. Freelancers must not withhold invoices for more than 12 months from the date the work was delivered; failure to invoice within this timeframe will result in forfeiture of payment claims.


Article 7: Confidentiality Obligations of the Client

Under the terms of this agreement, Clients of AngloSaxonTranslationCenter are strictly prohibited from disclosing any details of their translation or proofreading projects to third parties. This includes, but is not limited to, the nature of the work, the content, the existence of the agreement, and any communications regarding the project between AngloSaxonTranslationCenter and the Client. The confidentiality obligation is designed to protect the proprietary processes, methods used by AngloSaxonTranslationCenter, and the sensitive nature of the information handled during the translation or proofreading Services. Clients are required to take reasonable precautions to prevent any unauthorized access or disclosure of project details. Violation of this confidentiality clause may result in immediate termination of the Contract, and AngloSaxonTranslationCenter reserves the right to seek compensation for any damages that result from such a breach.

Article 8: Intellectual Property Rights Disclaimer

AngloSaxonTranslationCenter makes no warranties regarding the intellectual property rights of the content provided by Clients for translation or proofreading. Clients are solely responsible for ensuring that they possess the appropriate rights or have obtained necessary permissions for all materials submitted to AngloSaxonTranslationCenter for translation Services. AngloSaxonTranslationCenter shall not be held liable for any claims, damages, or other liabilities that may arise from any alleged or actual intellectual property rights infringement related to materials provided by Clients. It is the Client’s responsibility to verify that the content does not infringe on the intellectual property rights of third parties before submission to AngloSaxonTranslationCenter.

Article 9: Termination of Contract

AngloSaxonTranslationCenter reserves the right to immediately terminate the Contract with a Client if there are well-founded suspicions that the Client will not be able to meet their obligations under the agreement, including payment obligations, due to insolvency. Additionally, AngloSaxonTranslationCenter may terminate the Contract without prior notice if it is discovered that the Client’s requests for or use of Services are linked to unethical or criminal activities. In such instances, any criminal activity will be reported to the Swedish police. Should termination occur under any other circumstances, AngloSaxonTranslationCenter will issue an invoice for the Services rendered up to the point of termination, based on the previously agreed rates. A minimum fee of 100 SEK will be applied to compensate for administrative and operational costs that have been incurred. Clients may terminate their Contract with AngloSaxonTranslationCenter; however, if termination occurs after AngloSaxonTranslationCenter has already begun work on a project, the Client is required to compensate for the portion of work completed. The amount due will be determined solely by AngloSaxonTranslationCenter, based on its calculation of the work performed up to the point of termination.

Article 10: Complaint Resolution

AngloSaxonTranslationCenter is dedicated to providing superior translation and proofreading Services. Should a Client identify any discrepancies in the delivered work that do not align with the Contractual specifications, they must submit a written complaint within 10 days of receiving the Service. The complaint should clearly specify the issues encountered. Upon receipt, AngloSaxonTranslationCenter will review the complaint to assess its validity within the scope of the agreed terms. Resolution efforts will be confined to revising the work in question, as specified in the Contract. This process is the sole remedy available to Clients, and such revisions do not acknowledge fault or confer any additional liability on AngloSaxonTranslationCenter.

Article 11: Fees and Adjustments

All fees quoted by AngloSaxonTranslationCenter are exclusive of Value Added Tax (VAT), which will be charged at the current applicable rate in Sweden. Clients are responsible for the payment of VAT and any other applicable taxes in accordance with Swedish law. If the cost of the Services provided by AngloSaxonTranslationCenter exceeds the initial estimate or agreed price by more than 10%, AngloSaxonTranslationCenter will notify the Client of this discrepancy as soon as it becomes apparent. Upon such notification, the Client and AngloSaxonTranslationCenter will discuss the reasons for the price increase and agree on a course of action. Possible solutions may include adjusting the scope of the Services to align with the original budget or amending the Contract to reflect the new pricing. This process is intended to maintain transparency and ensure mutual agreement on Service and payment terms. It is important that the Client understands that certain circumstances, such as changes in project scope, unforeseen complexities in the source material, or changes in exchange rates, may necessitate adjustments to the initially quoted fee. AngloSaxonTranslationCenter commits to keeping the Client informed and involved in any decisions that affect project pricing or timelines.

Article 12: Payment Terms

Payment for Services provided by AngloSaxonTranslationCenter must be made in accordance with the following terms. Clients are required to pay an initial deposit of 50% of the total Service fee at the time of Contract execution. The remaining balance is due upon completion of the Services but no later than 30 days from the delivery of the completed translation. Invoices will be issued immediately upon delivery of the completed Service and will detail all applicable charges as agreed in the Contract. Late payments will incur a penalty of 2% per month on any outstanding balance. Failure to make timely payments may result in the suspension of Services and may affect future Service agreements. All payments must be made in Swedish Kronor (SEK) to the designated bank account of AngloSaxonTranslationCenter. Clients are responsible for any transaction fees or other financial charges associated with their payment method. Specific details regarding transaction IDs, additional fees, or payment schedules beyond the initial deposit and final payment will be communicated directly to the Client through their preferred contact method listed in the Contract.

 

Article 13: Limitation of Liability

AngloSaxonTranslationCenter shall not be liable for any losses or damages arising from the use of its translation Services. This includes, but is not limited to, indirect, incidental, consequential, or punitive damages, such as loss of profits, data, or business interruption. This limitation of liability applies even if AngloSaxonTranslationCenter has been expressly advised of the potential for such damages. The company’s total liability to any Client for any claim arising out of or related to the Services provided shall be limited to the fee paid by the Client for the specific Service from which the claim originates.

Article 14: Force Majeure

Force Majeure shall be understood to refer to any events or conditions that substantially impede the performance of Contractual obligations and for which AngloSaxonTranslationCenter cannot reasonably be held accountable. Such events may encompass natural disasters, including but not limited to earthquakes, floods, and hurricanes, as well as extraordinary human occurrences such as war, labor disputes, civil unrest, or any legal or governmental actions that render Contractual performance infeasible. Upon the occurrence of a force majeure event, AngloSaxonTranslationCenter is obligated to promptly notify the other Contracting party in writing. The company is further required to undertake all reasonable efforts to mitigate the impact of such events and to endeavor to resume the fulfillment of its Contractual duties at the earliest opportunity. It is important to note that this clause does not relieve either party of their obligation to make any payments that were due or had been made prior to the onset of the force majeure event.

 

Article 15: Resolution of Disputes

AngloSaxonTranslationCenter is committed to resolving disputes amicably and efficiently. In the event of a disagreement or dispute arising from or related to our Services or agreements, both parties agree to first seek resolution through direct negotiation. If direct negotiations do not resolve the issue, the dispute shall be referred to mediation by a mutually agreed-upon mediator in Sweden. If mediation fails to achieve a resolution, the dispute will be resolved through arbitration in accordance with the Arbitration Rules of the Arbitration Institute of the Stockholm Chamber of Commerce. The arbitration panel shall consist of one arbitrator unless the complexity of the dispute warrants three arbitrators. The decision rendered by the arbitrator(s) shall be final and binding on all parties, and no party shall have the right to appeal such decision in any court. AngloSaxonTranslationCenter prioritizes a clear and straightforward dispute resolution process to ensure that all parties can continue their professional relationships with minimal disruption.

Article 16: Governing Law

This agreement and all Contractual relationships between AngloSaxonTranslationCenter and the Client shall be governed by and construed in accordance with the laws of Sweden. This provision applies to all aspects of our business dealings, including but not limited to Contract formation, interpretation, performance, and dispute resolution. Any legal actions or proceedings arising out of or related to this agreement shall be exclusively subject to the jurisdiction of the Swedish courts. This choice of law serves to provide a consistent legal framework and predictability for both parties engaged in the Contractual relationship. Furthermore, both parties agree to submit to the jurisdiction of these courts and waive any objections to the venue as being inconvenient, affirming their commitment to resolve any disputes under the stipulated legal jurisdiction.

Article 17: Amendments to General Guidelines

AngloSaxonTranslationCenter reserves the right to amend these general guidelines at any time. Changes to these guidelines shall become effective immediately upon implementation and may be made without prior notice to the Client. AngloSaxonTranslationCenter commits to communicating any such amendments to the Client within a reasonable timeframe following their enactment. To ensure transparency and maintain trust, the amended guidelines will be promptly provided to the Client in writing. The Client is encouraged to regularly review any updates to stay informed about any changes that may affect the terms of their engagement with AngloSaxonTranslationCenter. Additionally, this article affirms our dedication to maintaining clear and effective communication with our Clients regarding any modifications to our policies and procedures.

Article 18: Data Protection

AngloSaxonTranslationCenter complies with all applicable data protection laws, including the General Data Protection Regulation (GDPR). We ensure that any personal data collected from Clients is processed in a secure manner and only used for the purposes of providing translation and proofreading Services. Clients have the right to access, correct, or request the deletion of their personal data held by AngloSaxonTranslationCenter. Any data breaches will be reported to the relevant authorities in accordance with legal requirements.

 

Article 19: Non-Solicitation

Clients agree not to directly or indirectly solicit, employ, or engage any employees or freelance Contractors of AngloSaxonTranslationCenter for their own projects or any third-party projects during the term of this agreement and for a period of one year following its termination. This clause is intended to protect the relationships and investments AngloSaxonTranslationCenter has made in its workforce.

Article 20: Severability

If any provision of these terms and conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue to be valid and enforceable. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable, and as closely aligned as possible with the original intent of the provision.

Article 21: Entire Agreement

These terms and conditions, together with any specific agreements or Proposals, constitute the entire agreement between AngloSaxonTranslationCenter and the Client. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof. No amendment or modification of these terms shall be binding unless in writing and signed by both parties.

Article 22: Notices

All notices or other communications required or permitted under this agreement shall be in writing and shall be deemed duly given when delivered personally, sent by registered or certified mail, return receipt requested, or by email with confirmation of receipt, to the addresses specified in the Contract.

Article 23: Subcontracting

AngloSaxonTranslationCenter reserves the right to subcontract any portion of the Services to qualified third parties. However, AngloSaxonTranslationCenter will remain responsible for the overall quality and delivery of the Services. Clients acknowledge and agree to this practice as part of the Service engagement.

Article 24: Feedback and Testimonials

Clients may be asked to provide feedback on the Services received. AngloSaxonTranslationCenter reserves the right to use such feedback, including written testimonials, for marketing and promotional purposes. If a Client wishes to keep their feedback confidential, they must notify AngloSaxonTranslationCenter in writing.

Article 25: Usage of Translated Content

Clients agree that the translated content provided by AngloSaxonTranslationCenter is for the Client’s use only. The Client must not distribute, publish, or share the translated content with third parties without explicit permission from AngloSaxonTranslationCenter. Any unauthorized use of the translated content is strictly prohibited and may result in legal action.

 

Article 26: Indemnification

Clients agree to indemnify, defend, and hold harmless AngloSaxonTranslationCenter and its employees, Contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with the Client’s use of the Services, breach of these terms, or violation of any rights of another.

Article 27: Non-Disparagement

Clients agree not to make any negative or disparaging statements or representations, in any form, about AngloSaxonTranslationCenter, its employees, or its Services. This clause is intended to protect the reputation and goodwill of AngloSaxonTranslationCenter.

Article 28: Survival

Any provisions of this agreement that by their nature should survive termination or expiration of this agreement, including but not limited to confidentiality, intellectual property rights, limitation of liability, and indemnification, shall continue in full force and effect after the termination or expiration of this agreement.

Article 29: Validity of English Version

The English version of these general terms and conditions shall be considered the only valid and binding version. Any translations of these terms into other languages are provided solely for convenience. In the event of any inconsistencies or discrepancies between the English version and a translated version, the English version shall prevail and be deemed the final reference. The Client understands and agrees that the English version of these terms governs their relationship with AngloSaxonTranslationCenter and that all interpretations of the agreement shall be based on the English text.

 

Article 30: Restrictions on Affairs with Certain Countries

AngloSaxonTranslationCenter adheres to strict guidelines regarding business engagements. The following points clarify our policy:

Sanctioned Countries:

No business or contractual relationships with individuals, entities, or organizations based in or affiliated with:

  • Russia
  • Belarus
  • Iran
  • North Korea
  • Syria
  • Certain regions in Ukraine (Luhansk, Donetsk, Crimea, Sevastopol, Zaporizhzhia, and Kherson)

Prohibited Countries due to Insurance Reasons:

  • USA (and its territories)
  • Canada (and its territories)
